1. About these Terms
These Terms of Service ("Terms") govern your use of TradeMatrix ("Service", "we", "us", "our"), a CRM platform for trade businesses provided via tradematrixapp.uk.
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you confirm that you have authority to bind that business to these Terms.
2. Your Account
You must be at least 18 years old and authorised to act on behalf of your business.
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
You must notify us immediately at support@tradematrixapp.uk if you suspect unauthorised use of your account.
We reserve the right to suspend or restrict access to accounts where there is suspected unauthorised use or security risk.
3. Free Trial, Subscription and Billing
TradeMatrix offers a 30-day free trial. During this period, you may access the Service without charge.
At the end of the trial:
- Continued use of CRM features requires you to subscribe to a paid plan ("Core Plan")
- If you do not subscribe, access to core features may be restricted or suspended
Subscriptions:
- Are billed in advance on a recurring basis
- Renew automatically unless cancelled before the renewal date
- Can be cancelled at any time via your account settings
Cancellation takes effect at the end of the current billing period.
Subscription fees:
- Are stated in GBP
- Exclude VAT unless stated otherwise
- May vary based on usage, including the number of user accounts
Current pricing is available on our website or within your account.
We may change pricing with at least 30 days' notice.
Fees are non-refundable except where required by applicable law.
We reserve the right to suspend accounts for non-payment.
4. Acceptable Use
You agree not to:
- Use the Service for unlawful, harmful, or fraudulent purposes
- Send unsolicited or unlawful marketing communications (including spam)
- Upload or distribute malware or harmful code
- Attempt to gain unauthorised access to systems or data
- Reverse engineer, copy, resell, or exploit the Service
- Access or attempt to access another user's data without permission
You are solely responsible for all activity conducted through your account.
5. Communications and Email Compliance
The Service enables you to send emails, including quotes, reminders, and marketing communications.
You agree that:
- You are solely responsible for all communications sent via the Service
- You will comply with all applicable laws and regulations, including PECR and UK GDPR
- You will obtain all necessary consents before sending marketing communications
We are not responsible for the content, delivery, or legality of communications sent through the Service.
6. Third-Party Integrations
The Service may integrate with third-party services, including Google services (such as Gmail and Google Calendar).
By using these integrations, you acknowledge that:
- We are not affiliated with or endorsed by third-party providers
- Your use of third-party services is subject to their respective terms and policies
- We are not responsible for the availability, security, or performance of third-party services
- We are not liable for any loss or damage arising from third-party integrations
You may disconnect integrations at any time via your account settings.
7. Your Data and Data Protection
You retain ownership of all data you upload to the Service, including customer, job, quote, and business data ("Customer Data").
You grant us a non-exclusive, worldwide licence to host, process, store and back up your Customer Data solely for the purpose of providing and improving the Service.
For the purposes of data protection law, you are the data controller and we act as a data processor.
We will process personal data in accordance with our Privacy Policy and applicable UK data protection laws.
We will never sell your Customer Data.
8. Data Retention and Deletion
Upon termination of your account:
- You may export your Customer Data for up to 30 days
- After this period, we may permanently delete your data from active systems and backups
You acknowledge that data deletion may be irreversible. We are not responsible for any loss of data following the retention period.
9. Intellectual Property
All intellectual property rights in the Service are owned by or licensed to us.
These Terms do not grant you any rights to our intellectual property except for the limited right to use the Service in accordance with these Terms.
10. Service Availability and Changes
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation. The Service is provided on an "as is" and "as available" basis.
We may modify, update, or discontinue any part of the Service at any time without liability and do not guarantee compatibility with all devices or third-party services.
11. Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental or consequential losses, or for loss of profits, revenue, business, data, or goodwill.
Our total liability arising from or related to the Service is limited to the total fees you paid to us in the 12 months preceding the claim.
Nothing in these Terms limits liability where it cannot be excluded under law.
12. Indemnity
You agree to indemnify and hold us harmless from any claims, damages, liabilities, or expenses arising from your use of the Service, your breach of these Terms, any communications or data you send or process using the Service, or your violation of applicable laws or third-party rights.
13. Termination
You may terminate your account at any time. We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or your use poses a risk to the Service or other users.
Upon termination, your right to use the Service ends immediately.
14. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will provide at least 30 days' notice via email or in-app notification.
Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15. Force Majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control.
16. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
